Done Deal – Insights from our M&A and Activism team – May 2026

Insights from our M&A and Activism team

Welcome to the latest installment of Done Deal. Our colleague Alex Le May recently spoke on a panel during the London Stock Exchange’s Investor Relations & Sustainability Masterclass 2026, which we’ve included a clip of below. We also explore the legal and business considerations companies should evaluate when considering a move out of Delaware in a podcast episode with Corporate Counsel. Finally, in our colleague spotlight, Michael Davies, a Senior Managing Director in our London office, shares his perspective on current market trends.

Timely Takes Podcast: Garrett Muzikowski & Andrea Hearon on DExit

The growing list of public companies proposing to move from Delaware to another jurisdiction of incorporation indicates that “DExit” remains a live topic among boards and management teams. In Corporate Counsel’s latest “Timely Takes” podcast,  our experts Garrett Muzikowski & Andrea Hearon discuss a variety of legal and business issues that companies considering migrating out of Delaware should consider.

What We’re Up To

Meet us at SuperReturn International

Our global M&A, Activism and Public Affairs team will be in Berlin this June for SuperReturn International, with a full programme of events and activities planned across the week. Alongside our drinks reception and policy breakfast featuring key speakers, FTI will also be hosting a dedicated SuperReturn Lounge — conveniently located just a five minutes walk from the conference venue — offering a space for meetings, catching up on work, or simply taking a break during the week.

If you’ll be attending, let us know and we’ll make sure you receive invitations and access details.

Meet our Team: 30 seconds with Michael Davies

Describe your area of expertise at FTI and the value you bring to clients?

Having spent 25 years in Equity Capital Markets at UBS, JPM and Jefferies, my areas of expertise include investor engagement and understanding;  IPO origination and execution;  and advising C-suites on their shareholder value strategies. With an extensive and long-standing investor network of CIOs and portfolio managers across multiple sectors, I can bring the full range of investor perspectives and priorities to help Corporates achieve their goals and engage effectively with their shareholders.

What trends are you seeing in your marketplace?

Geopolitical tensions, macro inflation risks and AI are just 3 factors making investment decisions, and the competition for investor capital, more complex than ever – and this makes corporate strategies for shareholder value creation equally hard to navigate. Valuations in Europe, especially in mid-caps, are still towards historic lows and that can create unwanted takeover risks to listed companies, who need to retain a loyal and diverse shareholder base of support. Against this backdrop, demand for trusted, experienced advisers who can provide objective and forward-looking strategic advice has never been greater. Combining that advice with the breadth of expertise across FTI enables us to deliver a highly differentiated offering to corporates and institutions.

What do you do outside of work that helps you reset and stay sharp for the next professional challenge?

Physical activity helps me navigate the working week, so gym, running, football, golf, and racquet sports are all sports I enjoy playing – depending on the wonderful British weather.
