Insights from our M&A and Activism team

Welcome to the latest installment of Done Deal! In this edition, Millie Dent, Andrea Hearon, and Garrett Muzikowski discuss key takeaways from the Society for Corporate Governance National Conference. Following this, our team shares their strategy for effective engagement with retail shareholders. We then go on to spotlight our recent award-winning work with Hostess Brands. Lastly, Gemma Doyle from our London team offers brief reflections in our colleague spotlight regarding the new Labour government in the UK and its impact on M&A.

Retail Shareholders: The New Frontier of Shareholder Engagement

Retail investors now account for 25% of daily fund flows, making them a significant variable in the value equation for an effective IR strategy. In fact, nearly half of millennial investors proactively plan to vote their own shares. With this comes enormous potential for companies to leverage these voters in combating activist challenges. Companies should actively ask themselves, “Who is influencing my retail base and how can I ensure our Company’s voice is the loudest?” Our team look at this in our latest thought leadership article.

What is your focus area at FTI Consulting?

As a former Labour Member of Parliament and Shadow Minister I advise clients on interactions with all aspects of the political world. Understanding what really makes MPs tick and the hidden dynamics of political decision making really helps businesses to assess risks and opportunities and how to have the most impact.

What are your top 5 takeaways for M&A professionals considering the impact of a Labour government?

  • Growth is this Government’s watchword – their plans are all based on stabilising and growing the economy
  • This is the ‘YIMBY’ Parliament – aligned to their growth agenda, this Government intend to rapidly accelerate building of houses and infrastructure
  • Watch out for how devolution evolves – businesses are going to have to interact with more stakeholders with greater devolved powers across the UK.
  • This is a Parliament of small majorities – this may influence how MPs approach issues, especially as we approach the next election – understanding these dynamics is important.
  • There is a brand new public policy landscape with 40 Bills announced in the King’s Speech – the vast majority brand new and covering everything from rail nationalisation to employment rights. Businesses need to understand how this impacts their operations and what opportunities it provides.

What do you do outside of work that helps you reset and stay sharp for the next professional challenge?

There is nothing like a good karaoke session to clear the mind and occasionally the room. I also love London’s theatre scene and the enforced separation from your mobile phone when watching a play!
