FTI Consulting Appoints Tanner Kaufman as Managing Director to Support Growth of M&A and Activism Practice in Strategic Communications Segment

Washington, D.C., Jan. 17, 2024 — FTI Consulting, Inc. (NYSE: FCN) today announced the appointment of Tanner Kaufman as a Managing Director in the M&A and Activism practice within its Strategic Communications segment, based in New York.

“Tanner will deliver immediate impact for our clients and partners as we continue to grow behind the market’s strong recognition of our differentiated offering,” said Pat Tucker, Americas Head of M&A and Activism for the Strategic Communications segment. “Our goal is to attract the best practitioners in this field to our team, and our success will continue to be predicated on the belief that strong execution, actionable insights and collaborative counsel must be underpinned by a genuine enjoyment of the work.”

Prior to joining FTI Consulting, Mr. Kaufman served as Managing Director at Joele Frank, Wilkinson Brimmer Katcher. Mr. Kaufman brings significant expertise across high-profile corporate events and transactions, with more than a decade of experience advising clients on special situations that include friendly and unsolicited transactions, shareholder activism defense, proxy contests, leadership changes and short attacks. He has led major transaction assignments for organizations including Emerson, Southwest Gas, AVEO Oncology, Terminix, TaskUs, CTI BioPharma, Cabot Oil & Gas, Ali Group, Barnes & Noble, Gannett, Panera Bread, Pep Boys and numerous others.

In addition, Mr. Kaufman has advised on more than 100 public and private activist situations, helping companies defend against some of the most notable activist investors, including Carl Icahn, Trian Partners, DE Shaw, Outerbridge, ValueAct, Elliott Management and Engaged Capital, as well as vocal healthcare-focused investors such as Caligan Partners, Rubric Capital and Sarissa Capital. He also has worked with numerous pharmaceutical, biotechnology and medical-device companies on shareholder engagement strategies and crisis and reputation management matters ranging from failed clinical trials and adverse patient events to patent and trade secret litigation. He is an active, longtime member of the National Investor Relations Institute.

Commenting on his appointment, Mr. Kaufman said, “I am thrilled to join FTI Consulting and support the team’s continued strong momentum in M&A and shareholder activism defense. FTI Consulting has an incredible platform with the breadth and depth of expertise to help clients navigate the increasingly complex transaction landscape. It was clear to me that FTI Consulting is building something different, and I look forward to working closely with Pat and my new colleagues across the world to deliver strategic counsel that has a positive impact for our clients.”

Over the past year, FTI Consulting Strategic Communications’ M&A and Activism team has grown in response to the increased demand from clients facing high-stakes transactions and shareholder activism communications challenges. In the U.S., in addition to internal promotions and recognitions, the team made several key appointments in 2023, including the hires of Kyla MacLennan, a Senior Director who joined from H/Advisors Abernathy, and Andrea Hearon, a Director who joined from Institutional Shareholder Services. In addition, former CNBC International anchor Nancy Hungerford joined as a Managing Director and closely collaborates with the team.

FTI Consulting’s integrated transaction communications offering supports clients in realizing deal success by delivering investor support and approval, mitigating political risk for regulatory clearance and setting clients up for integration success. The team taps into global multidisciplinary expertise across FTI Consulting’s leading capabilities in corporate reputation, investor relations, public affairs, people and transformation and digital strategy. This work is complemented by FTI Consulting’s broader M&A advisory services, including merger integration, business transformation and strategic advisory work for chief financial officers.

In activism defense, the team supports clients in navigating engagements with dedicated economic activist shareholders, increasingly vocal institutional investors and ESG funds. The cross-functional team brings practical insight to media relations, proxy advisory recommendations, investor engagement and ESG strategy to realize positive outcomes for clients.
