Monsanto (NYSE: MON), a global leader in seeds and traits, crop protection, and precision agriculture, engaged FTI Consulting to advise the company on a global, multi-stakeholder communications platform to support the company’s combination with Bayer AG, a leading German-based global healthcare and agricultural company.
Our Role With Monsanto
FTI Consulting worked closely with the company’s senior leadership team to prepare the strategy, messaging, and execution plan for the announcement of the transaction against the backdrop of protracted negotiations and broader consolidation within the industry. FTI Consulting deployed a global team with professionals in the U.S., London, Brussels, and Germany to support preparation for the combination, as well as working with Monsanto during negotiations to manage the global media attention that the transaction received. Once the public announcement of the combination was made, multiple global work streams engaged the media, investment community, employees, customers and partners, and government officials.
On September 14, 2016, Monsanto and Bayer publicly announced an agreement to create a leading a global leader in agriculture. Under the terms of the transaction, Bayer would acquire Monsanto for $128 per share in cash, representing a 44 percent premium to Monsanto shareholders and an aggregate transaction value of $66 billion. The combination would realize the companies’ shared vision of integrated agricultural offerings and enhanced solutions for growers, while creating a leading innovation engine for the next generation of farming.
