When Innophos – a leading specialty ingredient-maker for food, beverage, pharmaceutical and industrial customers – underwent a strategic transformation away from lower margin, higher volatility commodity products into higher-growth, higher-margin nutritional and beverage applications, FTI Consulting established a best-in-class investor relations program working closely with the management team.
Building the Foundation: The first priority of FTI Consulting’s Industrials sector team was to support the company’s market valuation by increasing investor awareness and engagement through high-impact, detailed transformation messages and a robust investor targeting program. Program elements included strategic counsel, market intelligence, perception studies, capital markets research, earnings support, investor collateral development, and activism preparedness.
On the Offense: To ensure that Innophos owned its story at the onset of the transformation, FTI Consulting helped develop the company’s first-ever Investor Day to articulate the long-term transformational strategy – from creating messages, scripts and presentations to managing the event and conducting presentation training. FTI Consulting’s post-Investor Day pulse-check surveyed participants and benchmarked sentiment against earlier perception studies.
Activist Defense: To ensure Innophos was prepared for and insulated from potential activist pressure during the transformation, FTI Consulting’s research evaluated the company’s financial performance, operating model, shareholder base, and corporate governance practices to identify potential weaknesses. FTI Consulting then developed a rapid response communications plan that included designing the response team, messaging, protocols and processes to manage discussions with activist investors and the broader investment community.
